As of Sunday, Paramount’s proposed acquisition of Warner Bros. Discovery was still stuck. Settlement talks with a 12-state coalition challenging the merger had ended without a final deal.
What changed, really, is the price of the delay: because the merger still hasn’t closed after September 30, Paramount reportedly owes about $7 million a day to Warner Bros. Discovery shareholders. That’s happening even though the U.S. Department of Justice had already cleared the deal, and the only challenge left is the state antitrust case led by California Attorney General Rob Bonta over consolidation in film and cable.
The states have floated a range of concessions. Among them: an independent monitor for CNN, a commitment to put out 30 films in theaters each year, with penalties if that target is missed, and possible cable divestitures, including Comedy Central. That gives you a sense of what they’re worried about, not just concentration, but how the combined company would operate afterward.
New York is pushing for stronger worker protections. Connecticut is zeroed in on editorial independence at CNN and CBS News. At least two other states still have reservations, which goes a long way toward explaining why this has dragged on.
If you follow media deals, keep an eye on this one. The next step is likely to come either through a settlement or back in court, with Cinema United pushing for a resolution.
