The suit says Microsoft CEO Satya Nadella, CFO Amy Hood, and other executives played down softness in Azure even as the company poured money into chips, servers, and data centers to back Copilot and its other AI products. Later, when Microsoft disclosed $37.5 billion in capital expenditures, far above the $34.3 billion analysts had expected, and also reported Azure growth easing to 39% from 40%, with guidance of 37% to 38%, the stock fell 10% on January 29. That erased $357 billion in market value, according to the complaint.
The plaintiffs also say Microsoft leaned on “capacity constraints” to explain what happened after disclosing, too late in their view, that CPUs and GPUs had been redirected from Azure to research and development, according to the complaint.
